MEMBER/ARTIST AGREEMENT
NOTE: This agreement is for Full members. The differences in the rules for Associate Members, Low Residency Members and National Members are detailed below and override anything said in the full agreement:
Associate Members: The monthly dues are $80, and Associate Members receive a solo exhibition in Gallery III every 24 months (They may upgrade to an exhibition to Gallery 1 or 2 by paying the difference of two years of dues equal to full membership. In addition, they would pay the same installation fee as full members). The initiation fee is $250. They have a full vote at meetings, are included on the web site, flat file and in a gallery binder, and may participate in member group shows. Their work is included in monthly Gallery III member shows as space allows. Otherwise, Associate Members enjoy the benefits and share the responsibilities of full membership.
Low-Residency Members: The monthly dues are $250. No gallery sitting or participation is required, although they may vote at monthly meetings. Low-Residency Members receive a solo exhibition every 24 months, may participate in member group shows, and their work is included on the web site, flat file, and in a gallery binder, and in monthly Gallery III member shows.
National Members: The yearly dues are $900, paid in advance. No gallery sitting or participation is required. National Members receive the following benefits: participation in member group shows; participation in flat file; binder in gallery; page or link on Bromfield web site; 10% discount if they choose to show as a Visiting Artist; and affiliation with Bromfield Gallery, a member of the Boston Art Dealers Association. Their work is included in the Gallery Artists space as room allows.
This Agreement, effective as of July 13, 2025 is between the Bromfield Arts Space (the “Corporation”) and Fleur Thesmar (the “Member/Artist”) and supersedes any previous agreement. Bromfield Gallery (the “Gallery”) is the exhibition space of the Corporation and is run by the Member/Artists of the Corporation.

A. THE RIGHTS AND PRIVILEGES OF THE MEMBER/ARTIST
I. Voice and Vote
a. The selection and appointment of any person hired by the Corporation.
b. The determination of commissions to be retained by the Corporation on sales.
c. The selection of new Members of the Corporation.
d. The determination of the amount each Member must pay in initiation fees and monthly dues.
e. The selection of non-member artists to exhibit in the Gallery and the determination of rental fees for Gallery space.
f. The determination of exhibition policies and the exhibition schedule.
g. The determination of all artistic, legal and financial policies that affect the Corporation and its Members.
h. The election of Officers and of the Executive Committee.
II. Exhibiting Work
a. The right to uncensored exposure and the freedom to curate and install one’s own exhibitions.
b. The right to have one’s work shown to the public and to prospective buyers between one’s solo exhibitions.
c. The right to exhibit one’s own work in other venues.
d. The right to regularly participate in group shows in the Gallery. Currently the artist can show in the gallery in group shows for about 7 months each year but this schedule can be changed based on a majority vote by members at a meeting.
B. THE MEMBER/ARTIST’S OBLIGATIONS AND RESPONSIBILITIES
I. Financial Obligations
a. Upon becoming a Member, the Artist pays a one-time initiation fee of $500.00, payable in full at the time of acceptance, in addition to that month’s dues. In special cases, an alternative payment schedule for the initiation fee only may be worked out with the Treasurer.
b. The Member/ Artist shall, thereafter, pay monthly dues of $125.00 as of the date of this agreement. Dues must be paid by the first of the month and made out to Bromfield Art Gallery. Changes in the amount of dues and initiation fee may be made from time to time. The preferred form of payment for all member fees is by check.
c. Upon becoming a Member, the Member/Artist agrees to make a binding, initial commitment of 24 months. After this initial period, the Member renews membership on a monthly basis through the payment of dues.
d. Artists who have a solo show scheduled before the artist has been a member for 24 months will pay according to the rules described in Appendix A.
e. Artists may take a leave of absence under the following conditions. The artist must have been a full member for at least three years before requesting a leave of absence and the Members must agree to the leave by a majority vote at a Gallery Meeting. On beginning the leave, the artist must pay half of the dues that would have been paid during the leave as a lump sum. For example, for a one-year leave, the artist owes $750 payable at the beginning of the leave. (This requirement may be waived on a case-by-case basis). During the leave, the artist has no responsibilities and cannot show work in the gallery. The period during the leave will not accrue toward the members’ next exhibition.
II. Solo Exhibitions
a. Each Member/Artist may schedule a solo exhibit every two years with the understanding that in the case of a scheduling conflict, adjustments will be made on an individual basis. Details of the process are described in Appendix A.
b. When having a solo exhibition, the Gallery charges the Artist a flat fee as described in Appendix A. This fee is due 6 months before the opening date of the Artist’s show and is not refundable if the Artist postpones or cancels their show. This fee and the expenses that it covers may be changed from time to time, based on a majority vote by the members.
c. The Member/Artist will share the costs of the opening reception with other artists who are having concurrent exhibits at the Gallery.
d. The work featured on the exhibition postcard must be available for display at the time of the exhibition. Should the work sell prior to the exhibition, the buyer must allow the member to exhibit the work for the duration of the exhibition and the work will be subject to the standard gallery commission.
e. The minimum sale price for artwork in exhibitions is $600, regardless of size, media or framing.
f. All work in a Member/Artist exhibition must be for sale.
g. Note that members must be in good standing to schedule or present a solo exhibition. A member in good standing is defined as a member whose dues are no more than 3 months in arrears.
III. Member Duties
a. In addition to paying monthly dues, the Member/Artist is expected to attend monthly meetings and to staff either the Gallery or the Opening Reception at least once a month and to help with other functions as needed. To remain a member in good standing, attendance at at least six monthly meetings is expected.
b. Every Member is expected to be aware of all Gallery activities and then to assume responsibilities as appropriate for each individual. The goal is that each Member carries a fair share of the tasks necessary to running the Corporation.
C. SALES POLICIES
I. Commissions and Other Regulations
a. The Corporation shall not have exclusive rights to the sale of the Member/Artist’s work. The Member shall be free to make other arrangements for the exhibition and sale of his/her work, and to sell work not previously consigned to the Gallery from his/her studio. For a sale that is primarily generated by a Bromfield exhibition or marketing (such as gallery website, eblast, postcard, magazine ad or listing, newspaper review), a commission is due to the gallery. This agreement only applies to current members. Essentially, if the gallery is instrumental in obtaining a sale that otherwise would not have occurred, it is win/win: a new sale for the artist, and a commission to help support the gallery. Since the gallery’s relationship with its artists is nonexclusive, the terms of this commission should have no bearing on which artwork the member chooses to show at Bromfield or elsewhere.
b. The proceeds from the sale of a Member’s work through the Gallery will be distributed as follows: 40% to the Corporation; 60% to the Member/Artist. Sales subject to this arrangement are only of work seen at the Gallery or initiated by a contact with the Gallery.
c. Should the Member/Artist have an outside agent negotiate the sale of his/her work that is rightfully subject to regular Gallery commissions, the percentage of the proceeds from the sale, which the outside agent receives, will be negotiated with the Gallery. Efforts will be made not to reduce the Member’s share of 60%. In special cases, with the full knowledge and explicit permission of the Member, a different percentage may be agreed upon.
d. Any work that is part of the Gallery inventory is subject to the same sales policies as stated in (b) and (c).
e. Any work in the Gallery by a Member/Artist belongs to the Member/Artist and if sold, will not leave the premises until payment has been made in full and has been cleared by the bank.
f. All work that is subject to the regulation stated above in (a), but sold from the Member/Artist’s studio, shall be priced as it was for exhibition in the Gallery.
g. Some sales or commission situations may not fit within the sales policy guidelines. The treasurer or someone designated by the treasurer will act as mediator in any situation under question. The Member/Artist will have the right to make the final decision as to whether the sale takes place and what the sale price will be.
h. In consultation with the Artist, the Gallery reserves the right to sell the Artist’s work through an art consultant or other third party representative. Should this be the case, the Artist will receive commission on the discounted price. The Gallery reserves the right to approve of the payment schedule and method of payment.
i. Should the gallery arrange for a studio visit by a gallery patron outside of the bi-annual exhibition, arrange for work to be shown by an independent consultant, or arrange for an exhibition in a location other than the Bromfield Gallery, any proceeds from the sale of work will be subject to the same commissions structure as outlined in section (b.), unless otherwise agreed upon in advance between the artist and the gallery.
j. Payment terms of several installments may be offered a potential buyer on sales of $1000 or more with the expectation that the payments will be completed within a six- month period. If installment payments are requested for a sale of $500 or for a longer period of time, the arrangements must be approved by the Manager.
k. The Gallery may permit work to be out on approval to a potential customer for no longer than a week. A check from the potential buyer for the full amount will be held in the Gallery until a final decision is made. In lieu of a check, an imprinted charge number may be left.
l. The member shall be paid in full within 30 days after the final payment made to the Corporation has cleared the bank.
m. The Gallery reserves the right to offer selected clients a 10% discount on sale of one artwork of at least $1,000. Commissions will be paid on the discounted price. If a client wishes a larger discount, the Gallery will contact the artist for approval.
n. The minimum sale price for artwork in exhibitions is $600, regardless of size, media or framing.
o. Note that members must be in good standing to receive a commission check. A member in good standing is defined as a member whose dues are no more than 3 months in arrears.
D. INSURANCE
a. The Corporation carries a limited liability insurance policy. The state of MA requires that Galleries have insurance on artwork so we pay for a policy.
b. All Members and persons working for the Gallery will exercise care in handling all works brought to the Gallery. The Member/Artist may carry his/her own insurance for work while it is in the Gallery, or in transit, to and from the premises.

Appendix A
Gallery Fees and Expenses
NOTE: The following rules and fees may be changed from time to time based on a majority vote at a Gallery meeting.
Gallery Fees
Gallery I and II - Members
Members may have a solo show in Gallery I or II once every two years for an installation fee of $650. Members showing in both galleries or having an extra show pay an additional $1800 ($100 discount from $1900 for visiting artists) for the second gallery showing. New members who wish to have a show in Gallery I or II before they have been a member for two years will show under the Visiting Artist contract and receive a discount for ½ of their dues paid through the show month.
Gallery III – Associate Members
Associate Members pay no installation fee for their show every 24 months in Gallery III. They may upgrade to an exhibition to Gallery 1 or 2 by paying the difference of two years of dues equal to full membership. In addition, they would pay the same installation fee as full members.
Gallery I and II – Visiting Artists
Visiting Artists renting Gallery I or II pay a $1900 rental fee. This fee can be discounted when deemed appropriate by the Gallery Manager.
Gallery III – Members and Guest Artists
Artists pay a flat fee of $800 for rental of Gallery III.
PR/Expense costs
The Gallery provides marketing through ArtScope, which features artists showing in Gallery I and II. Artists showing in Gallery III are mentioned as well, as space allows.
A paid Gallery Installer (currently SandT) assists in the hanging of Gallery I and II and assists in the hanging of Gallery III when it’s not a members’ show.
The Gallery provides 200 5x7 individual postcards separately for Gallery I and II. The artist receives 150 and the Gallery has 50 for promotion. Members in GIII may print their own postcards, but need to obtain approval from the Gallery Manager on the design.
The Gallery Manager sends an email announcement each month, featuring the artists in Gallery I and II and mentioning the artist in Gallery III.
The Gallery pays for signage for all three Galleries.
The artist is responsible for any other costs including any transportation, shipping, any other marketing costs.
